1 Introduction and Acceptance of Terms
1.1 Welcome to Pagia.
Pagia is a digital platform designed to support the creation, publication, distribution, discovery, monetization, adaptation, and commercialization of literary and creative works. Through its ecosystem, Pagia connects authors, readers, publishers, creative professionals, literary service providers, rights holders, and other participants within the creative economy.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Pagia Technologies Limited, together with its affiliates, subsidiaries, successors, and assigns ("Pagia," "we," "our," or "us"), governing your access to and use of the Pagia platform, including our website, mobile applications, software, content, products, services, marketplaces, communication tools, publishing tools, payment features, and any related services (collectively referred to as the "Platform").
By accessing, browsing, registering for, publishing content through, purchasing products or services through, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Community Guidelines, Copyright Policy, Payment Policy, and any additional policies, agreements, or guidelines that may apply to specific features or services offered through the Platform.
If you do not agree to these Terms, you must immediately discontinue use of the Platform and refrain from accessing any of its services.
1.2 Scope of the Platform
Pagia operates as a multi-sided creative ecosystem that may include, among other services:

- · Ebook distribution and sales;
- · Print publishing and production services;
- · Creative services marketplaces;
- · Rights licensing and intellectual property marketplaces;
- · Literary and educational content platforms;
- · Communication and collaboration tools;
- · Creator monetization services;
- · Payment and payout facilitation services;
- · Audiovisual adaptation and storytelling tools;
- · Virtual and immersive experiences;
- · Community engagement services; and
- · Any future products or services introduced by Pagia.
Certain features or services may be subject to additional terms, agreements, or eligibility requirements. Where such additional terms apply, they shall be incorporated into and form part of these Terms.
1.3 Eligibility
To use the Platform, you represent and warrant that:
- · You are at least eighteen (18) years of age, or the age of legal majority in your jurisdiction;
- · You possess the legal capacity to enter into binding agreements;
- · You are not prohibited from using the Platform under any applicable law, regulation, court order, or governmental restriction;
- · Any information you provide to Pagia is accurate, complete, and up-to-date; and
- · You will comply with all applicable laws and regulations relating to your use of the Platform.
If you are accessing the Platform on behalf of a company, organization, publishing house, educational institution, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" shall include both you and that entity.
1.4 Modifications to the Terms
Pagia reserves the right to modify, amend, update, or replace these Terms at any time to reflect changes in our services, business operations, legal obligations, industry standards, or user needs.
Where material changes are made, we will take reasonable steps to notify users through the Platform, email communications, or other appropriate means. Continued use of the Platform after any updated Terms become effective constitutes your acceptance of the revised Terms.
If you do not agree with any revised Terms, your sole remedy is to discontinue use of the Platform.
1.5 Electronic Acceptance
You acknowledge and agree that your electronic acceptance of these Terms, whether by clicking an acceptance button, creating an account, accessing services, publishing content, completing a transaction, or otherwise using the Platform, constitutes your legal agreement to be bound by these Terms and has the same force and effect as a written signature.
2 2. Definitions
For the purposes of these Terms, the following words and expressions shall have the meanings set out below:
2.1 "Account"
A registered user profile created to access and use the Platform and its services.
2.2 "Author"
Any individual or entity that creates, owns, controls, publishes, licenses, or distributes literary, educational, creative, or intellectual works through the Platform.
2.3 "Book"
Any literary work, manuscript, publication, ebook, audiobook, digital publication, printed publication, comic, graphic novel, screenplay, educational material, or other written work submitted to, published through, or distributed via the Platform.
2.4 "Content"
Any information, text, manuscript, book, image, audio, video, artwork, illustration, design, metadata, review, comment, message, post, file, software, code, data, or other material uploaded, created, published, transmitted, displayed, or otherwise made available through the Platform.
2.5 "Creative Professional"
Any individual or entity offering professional services through the Platform, including but not limited to editors, designers, illustrators, translators, narrators, proofreaders, marketers, filmmakers, producers, scriptwriters, consultants, and other service providers.
2.6 "Digital Product"
Any digital good made available through the Platform, including ebooks, audiobooks, downloadable content, templates, educational resources, software tools, digital media, and related products.
2.7 "Intellectual Property Rights"
All rights relating to intellectual property, including copyrights, trademarks, trade names, patents, industrial designs, trade secrets, database rights, moral rights, publicity rights, neighboring rights, and any similar rights recognized under applicable law.
2.8 "Marketplace"
Any area of the Platform that facilitates the offering, purchase, sale, licensing, commissioning, contracting, or exchange of products, services, rights, or opportunities between users.
2.9 "Publisher"
Any individual, company, organization, or institution offering publishing, printing, distribution, editorial, production, or related services through the Platform.
2.10 "Reader"
Any user who accesses, reads, purchases, borrows, reviews, downloads, interacts with, or otherwise consumes content available through the Platform.
2.11 "Rights"
Any legal rights associated with a creative work, including but not limited to publishing rights, distribution rights, translation rights, adaptation rights, performance rights, audiovisual rights, merchandising rights, and derivative rights.
2.12 "User"
Any individual or entity that accesses, browses, registers for, uses, purchases from, publishes through, contributes to, or otherwise interacts with the Platform.
2.13 "User Content"
Any Content that is submitted, uploaded, posted, published, transmitted, displayed, or otherwise made available by a User through the Platform.
2.14 "Platform"
The Pagia website, mobile applications, software systems, marketplaces, communication tools, publishing tools, APIs, databases, virtual environments, and all related services operated by Pagia.
2.15 "Services"
All products, tools, functionalities, features, marketplaces, content offerings, payment services, communication systems, publishing solutions, and other services made available by Pagia.
2.16 "Transaction"
Any purchase, sale, subscription, commission, licensing arrangement, service engagement, payment, payout, donation, or other commercial interaction facilitated through the Platform.
3 Account Registration, Verification, and Security
3.1 Account Registration
In order to access certain features of the Platform, Users may be required to create and maintain an Account.
When registering for an Account, you agree to provide information that is accurate, current, complete, and not misleading. You further agree to promptly update such information whenever necessary to ensure its continued accuracy.
Pagia reserves the right to reject any application for registration, suspend the creation of an Account, or require additional information before granting access to certain features of the Platform.
The creation of an Account does not automatically entitle a User to access all services available on the Platform. Certain services may require additional verification, approvals, qualifications, or agreements.
3.2 Account Types
Pagia may offer different categories of Accounts, including but not limited to:
- · Author Accounts;
- · Reader Accounts;
- · Publisher Accounts;
- · Creative Professional Accounts;
- · Business Accounts;
- · Organization Accounts;
- · Rights Holder Accounts; and
- · Any additional account classifications introduced by Pagia from time to time.
Users may be permitted to maintain multiple roles within a single Account, subject to applicable Platform policies.
Pagia reserves the right to establish eligibility requirements, verification procedures, fees, or operational restrictions for any Account type.
3.3 Identity Verification
To protect the integrity of the Platform, comply with applicable laws, facilitate secure transactions, and reduce fraudulent activity, Pagia may require identity verification for certain Users or services.
Verification requirements may include:
- · Government-issued identification;
- · Business registration documents;
- · Tax identification information;
- · Proof of address;
- · Banking information;
- · Payment verification;
- · Professional qualifications; or
- · Any other information reasonably required by Pagia.
Certain Platform features, including creator payouts, rights licensing transactions, publisher services, marketplace transactions, or high-value commercial activities, may not be accessible until verification requirements have been successfully completed.
Pagia reserves the right to conduct periodic re-verification exercises where reasonably necessary.
3.4 Account Security
Users are solely responsible for maintaining the confidentiality and security of their Account credentials.
You agree to:
- · Keep your login credentials secure and confidential;
- · Restrict access to your Account;
- · Use reasonable measures to prevent unauthorized access;
- · Notify Pagia immediately of any suspected unauthorized use of your Account or security breach.
Pagia shall not be liable for losses arising from unauthorized access resulting from a User's failure to adequately protect their Account credentials.
3.5 Account Ownership
Accounts are personal to the individual or entity in whose name they are registered.
Users may not:
- · Sell Accounts;
- · Transfer Accounts;
- · Lease Accounts;
- · Share Accounts for unauthorized commercial purposes; or
- · Permit third parties to impersonate them through the Platform.
Any attempted transfer of an Account without Pagia's prior written consent may result in suspension or termination.
3.6 Account Suspension and Restrictions
Pagia may temporarily suspend, restrict, or limit access to an Account where it reasonably believes that:
- · The Account has been compromised;
- · Fraudulent activity is suspected;
- · Verification information is inaccurate;
- · Applicable laws require intervention;
- · Platform security is at risk;
- · The User has violated these Terms; or
- · Such action is necessary to protect other Users, rights holders, business partners, or the Platform.
Where reasonably practicable, Pagia will provide notice of such restrictions.
3.7 Account Termination
Users may close their Accounts at any time by following the procedures made available through the Platform.
Pagia reserves the right to suspend or permanently terminate Accounts for violations of these Terms, applicable policies, or applicable law.
Termination of an Account shall not extinguish obligations accrued prior to termination, including payment obligations, dispute obligations, intellectual property obligations, or any provisions that by their nature survive termination.
4 User Roles, Rights, and Responsibilities
4.1 General User Responsibilities
All Users of the Platform are expected to act honestly, responsibly, and in accordance with applicable laws and these Terms.
By using the Platform, you agree that you will:

- · Comply with all applicable laws and regulations;
- · Provide truthful and accurate information;
- · Use the Platform only for lawful purposes;
- · Respect intellectual property rights;
- · Refrain from engaging in deceptive, fraudulent, abusive, or harmful conduct.
Users remain solely responsible for their conduct, activities, communications, transactions, and content on the Platform.
4.2 Authors
Authors are responsible for all works submitted, published, distributed, marketed, licensed, or otherwise made available through the Platform.
Authors represent and warrant that:
- · They own or have obtained all necessary rights required to publish submitted works;
- · Their content does not infringe the intellectual property rights of any third party;
- · Their content complies with applicable laws;
- · They possess the authority to grant any licenses necessary for publication or distribution through the Platform.
Authors are solely responsible for the accuracy of metadata associated with their works, including titles, descriptions, contributor information, categories, rights information, and licensing details.
Authors acknowledge that Pagia does not guarantee readership, sales, publishing success, market visibility, commercial outcomes, or adaptation opportunities.
4.3 Readers
Readers may access, purchase, borrow, review, interact with, or otherwise engage with content available through the Platform.
Readers agree that they will not:
- · Reproduce protected content without authorization;
- · Circumvent technological protection measures;
- · Redistribute purchased content unlawfully;
- · Engage in piracy;
- · Misrepresent reviews or ratings;
- · Harass creators or other Users.
Readers are granted only those usage rights expressly provided by the applicable content license or purchase terms.
4.4 Publishers
Publishers offering services through the Platform are responsible for the quality, legality, and fulfillment of services they provide.
Publishers represent and warrant that:
- · They possess the authority to offer the services advertised;
- · They will perform services professionally and in good faith;
- · They will provide accurate information regarding pricing, timelines, and deliverables;
- · They will comply with all applicable industry standards and laws.
Publishers remain solely responsible for obligations arising from their agreements with Authors and other Users.
Pagia acts solely as a facilitator and does not assume responsibility for the performance of publishing contracts between Users.
4.5 Creative Professionals
Creative Professionals may offer services including editing, proofreading, illustration, design, translation, narration, scriptwriting, filmmaking, marketing, consulting, and other creative services.
Creative Professionals agree to:
- · Deliver services as represented;
- · Maintain professional standards;
- · Respect confidentiality obligations;
- · Honor agreed timelines;
- · Refrain from misrepresentation of qualifications or experience.
Creative Professionals are solely responsible for services rendered and any resulting contractual obligations.
4.6 Rights Holders
Users offering, licensing, purchasing, or managing Rights through the Platform must ensure that they possess the authority necessary to enter into such transactions.
Rights Holders represent and warrant that:
- · They own or control the rights being offered;
- · Such rights may legally be transferred, licensed, or assigned;
- · Any information relating to rights ownership is accurate and complete.
Pagia does not independently verify ownership of Rights and relies on representations made by Users.
4.7 Prohibited Conduct
Users shall not engage in conduct that may harm the Platform, its Users, rights holders, partners, or the broader community.
Without limitation, Users shall not:
- · Violate applicable laws;
- · Engage in fraud or deception;
- · Impersonate another person or entity;
- · Submit false information;
- · Interfere with Platform operations;
- · Circumvent security mechanisms;
- · Engage in copyright infringement;
- · Distribute malware or harmful code;
- · Abuse communication features;
- · Manipulate reviews, ratings, rankings, or marketplace outcomes.
Pagia reserves the right to investigate suspected violations and take appropriate enforcement action.
4.8 Platform Rights
In order to maintain a safe, lawful, and reliable environment, Pagia reserves the right to:
- · Review User activities;
- · Verify information;
- · Request documentation;
- · Restrict access to services;
- · Remove content;
- · Suspend transactions;
- · Investigate complaints;
- · Enforce Platform policies.
Such actions may be taken where reasonably necessary to protect the integrity of the Platform, its Users, or applicable legal obligations.
5 User Content, Intellectual Property, and Licensing
5.1 Ownership of User Content
Pagia recognizes and respects the intellectual property rights of its Users. Except as expressly provided in these Terms, Users retain all ownership rights, title, and interests in and to any User Content that they create, upload, submit, publish, distribute, license, transmit, display, or otherwise make available through the Platform.
Nothing contained in these Terms shall be construed as transferring ownership of User Content from a User to Pagia. The publication, storage, display, promotion, distribution, monetization, or licensing of User Content through the Platform shall not affect the ownership rights of the User except to the extent expressly agreed in writing.
Users are solely responsible for establishing, maintaining, protecting, and enforcing their intellectual property rights.
5.2 User Representations and Warranties
By submitting User Content to the Platform, a User represents, warrants, and undertakes that such User possesses all rights, permissions, licenses, consents, approvals, and legal authority necessary to upload, publish, distribute, license, display, reproduce, adapt, or otherwise make the User Content available through the Platform.
The User further represents and warrants that the User Content does not infringe, misappropriate, or otherwise violate the intellectual property rights, privacy rights, publicity rights, contractual rights, or any other rights of any third party.
The User acknowledges that Pagia relies entirely upon these representations when providing services relating to such User Content.
Pagia shall not be responsible for independently verifying ownership claims, copyright status, licensing arrangements, chain of title, or rights clearances relating to User Content.
5.3 License Granted to Pagia
In consideration of the services provided by Pagia and for the purpose of operating, improving, maintaining, promoting, and expanding the Platform, each User grants Pagia a non-exclusive, worldwide, sublicensable, transferable, royalty-free license to host, store, reproduce, process, format, transmit, display, distribute, promote, market, index, archive, and otherwise utilize User Content in connection with the operation of the Platform and its related services.
This license authorizes Pagia to make User Content available to readers, purchasers, subscribers, publishers, collaborators, service providers, licensors, distributors, business partners, payment providers, and other users of the Platform where necessary to facilitate the intended functionality of the Platform.
Where User Content is made available for public viewing, sale, licensing, distribution, adaptation, collaboration, or marketplace participation, the User expressly authorizes Pagia to undertake all technical and operational activities reasonably required to facilitate such services.
Except where otherwise agreed in writing, the license granted under this Section shall remain in effect for so long as the User Content remains available on the Platform and for any additional period reasonably necessary to satisfy legal obligations, resolve disputes, complete transactions, maintain business records, protect legal rights, or preserve backup systems.
5.4 Promotional Rights
Users acknowledge that the promotion and discoverability of content are integral components of the services offered by Pagia.
Accordingly, Users grant Pagia the right to use the titles, descriptions, excerpts, cover designs, metadata, author names, publisher names, trademarks, logos, images, and other identifying information associated with User Content for promotional, advertising, editorial, educational, marketing, public relations, investor relations, partnership, distribution, and business development purposes.
Pagia shall not acquire ownership of such materials through such use.
5.5 Derivative Services and Platform Functionality
To facilitate publishing, discovery, accessibility, adaptation, collaboration, translation, indexing, formatting, recommendation systems, analytics, search functionality, artificial intelligence tools, accessibility tools, and future Platform services, Pagia may process User Content through automated or manual means.
Such processing shall not be construed as a transfer of ownership and shall occur solely for purposes connected with the operation and enhancement of the Platform.
Nothing in this Section grants Pagia ownership of any copyright, trademark, patent, trade secret, or other intellectual property right belonging to a User.
5.6 Intellectual Property Ownership of the Platform
The Platform, including its software, databases, interfaces, functionality, trademarks, trade names, logos, designs, visual elements, documentation, source code, business processes, algorithms, proprietary technologies, and other intellectual property rights, are owned by or licensed to Pagia and are protected under applicable intellectual property laws.
Except as expressly authorized by Pagia, no User may copy, modify, reproduce, distribute, reverse engineer, decompile, scrape, exploit, or otherwise use any part of the Platform for unauthorized purposes.
No provision of these Terms shall be interpreted as granting any ownership interest in the Platform to any User.
5.7 Copyright Complaints and Rights Enforcement
Pagia respects intellectual property rights and expects Users to do the same.
Where Pagia receives a complaint alleging infringement of copyright or other intellectual property rights, Pagia reserves the right to investigate the matter and to remove, restrict, suspend, disable, or otherwise limit access to the disputed content pending resolution.
Users acknowledge that Pagia may take such actions without prior notice where reasonably necessary to protect legal rights, comply with legal obligations, or prevent potential harm.
Pagia reserves the right to terminate repeat infringers and to cooperate with rights holders, law enforcement agencies, courts, regulatory authorities, and other relevant parties where legally required.
6 Publishing Services and Content Distribution
6.1 Nature of Publishing Services
Pagia provides technology infrastructure that enables Users to publish, distribute, market, monetize, discover, license, adapt, and otherwise make creative works available to audiences and business partners.
Unless expressly stated otherwise, Pagia does not act as a traditional publishing house, literary agent, legal representative, talent manager, guarantor, distributor of record, or owner of User Content.
The services provided by Pagia are intended to facilitate opportunities for publication and distribution but do not constitute guarantees of readership, sales, commercial success, audience growth, media exposure, adaptation opportunities, licensing transactions, publishing contracts, or financial performance.
6.2 Author Responsibility for Published Content
Authors remain solely responsible for all content submitted for publication through the Platform.
The Author acknowledges and agrees that the Author bears full responsibility for the legality, originality, accuracy, completeness, quality, and suitability of all published works.
The Author further agrees that any claims arising from published content, including claims relating to copyright infringement, plagiarism, defamation, privacy violations, unlawful content, deceptive content, or regulatory non-compliance, shall remain the sole responsibility of the Author.
Pagia shall have no obligation to review, verify, edit, fact-check, or approve content prior to publication.
6.3 Distribution Rights
To enable distribution through the Platform and its affiliated channels, an Author grants Pagia the non-exclusive right to distribute, display, transmit, market, promote, license, reproduce, and make available the Author's content in accordance with the publication settings selected by the Author.
Such distribution may occur through websites, mobile applications, marketplaces, reading platforms, partner platforms, digital storefronts, publishing networks, promotional channels, educational channels, and future distribution channels operated by or integrated with Pagia.
Except where expressly agreed otherwise, all rights granted under this Section shall remain non-exclusive, and the Author shall remain free to publish, distribute, license, sell, or otherwise exploit the same content through other platforms or channels.
6.4 Content Availability and Removal
Pagia reserves the right to remove, suspend, restrict, reclassify, or otherwise limit access to content where such action is reasonably necessary to comply with legal obligations, enforce Platform policies, respond to rights complaints, prevent harm, maintain Platform integrity, or address operational requirements.
Authors may request the removal of their content from the Platform in accordance with applicable procedures.
The removal of content shall not affect transactions completed prior to removal, contractual obligations already undertaken, records retained for legal purposes, or rights granted to purchasers prior to such removal.
6.5 Publishing Standards
Pagia reserves the right to establish content standards, metadata requirements, formatting specifications, quality requirements, submission procedures, categorization rules, and publishing guidelines applicable to content distributed through the Platform.
Failure to comply with such requirements may result in rejection, suspension, correction requests, removal from distribution, reduced discoverability, or other operational actions deemed necessary by Pagia.
6.6 Future Distribution Channels
As the Platform evolves, Pagia may introduce additional methods of content distribution, including physical publishing services, audiobook services, educational distribution channels, adaptation marketplaces, licensing marketplaces, film production services, immersive experiences, virtual environments, artificial intelligence-powered services, and other future content formats.
Subject to applicable laws and the settings selected by the User, the licenses granted under these Terms shall extend to such future distribution methods to the extent reasonably necessary for the operation of those services.
Nothing in this Section shall authorize Pagia to transfer ownership of User Content or to exploit User Content beyond the scope of rights granted under these Terms or any separate written agreement between the parties.
7 Marketplace Services and User Transactions
7.1 Marketplace Function
The Platform may include one or more marketplaces through which Users may offer, discover, purchase, commission, license, sell, distribute, or otherwise transact in relation to books, publishing services, creative services, intellectual property rights, educational resources, audiovisual works, adaptation opportunities, digital products, subscriptions, event access, and other goods or services.
The Marketplace is intended to facilitate interactions between Users and to provide technological infrastructure that enables such interactions. Unless expressly stated otherwise in a separate written agreement, Pagia does not act as the seller, buyer, publisher, employer, contractor, agent, broker, guarantor, insurer, distributor of record, or legal representative of any User participating in a Marketplace transaction.
Users acknowledge that Marketplace transactions are entered into directly between the participating parties and that Pagia's role is limited to providing the Platform through which such transactions may occur.
7.2 User Responsibility for Transactions
Each User remains solely responsible for evaluating the suitability, legitimacy, qualifications, reliability, pricing, quality, and performance of any person or entity with whom they choose to transact through the Platform.
Pagia makes no representation, warranty, endorsement, or guarantee regarding the identity, qualifications, expertise, ownership claims, performance capability, financial standing, professional competence, or legal compliance of any User.
Any decision to engage in a transaction through the Platform is made solely at the User's own discretion and risk.
7.3 Service Agreements Between Users
Certain Marketplace transactions may involve the provision of professional or creative services, including editing, design, illustration, narration, translation, publishing support, marketing, filmmaking, consulting, adaptation services, or similar activities.
Unless Pagia expressly enters into a separate written agreement stating otherwise, all service arrangements are concluded directly between the participating Users.
Pagia shall not be responsible for supervising, directing, controlling, guaranteeing, reviewing, or enforcing the performance of obligations arising under such arrangements.
The participating Users shall remain solely responsible for defining project requirements, negotiating terms, determining deliverables, establishing timelines, resolving disputes, and fulfilling contractual obligations.
7.4 Publishing and Production Transactions
Where Authors engage Publishers, printers, distributors, production houses, or related service providers through the Platform, the resulting transaction shall constitute an independent arrangement between those parties.
Pagia shall not be liable for delays, defects, production errors, quality issues, delivery failures, intellectual property disputes, regulatory violations, or any other matters arising from such arrangements.
The parties involved in such transactions bear sole responsibility for ensuring compliance with applicable laws, contractual obligations, quality standards, and industry practices.
7.5 Rights Licensing Transactions
The Platform may facilitate opportunities for Users to buy, sell, assign, license, acquire, option, negotiate, or otherwise transact in relation to intellectual property rights.
Users participating in rights transactions acknowledge that ownership, scope, validity, enforceability, transferability, and commercial value of rights may vary depending upon applicable laws, contractual arrangements, and factual circumstances.
Pagia does not independently verify ownership claims, chain of title documentation, licensing authority, encumbrances, exclusivity arrangements, or legal enforceability of rights offered through the Platform.
Any party engaging in a rights transaction is solely responsible for conducting appropriate due diligence prior to entering into any agreement.
7.6 User Reviews, Ratings, and Feedback
The Platform may permit Users to publish reviews, ratings, testimonials, recommendations, comments, and other forms of feedback regarding transactions, services, products, or interactions.
Users agree that any such feedback shall be truthful, fair, accurate, and based upon genuine experiences.
Pagia reserves the right, but not the obligation, to investigate suspicious reviews, remove misleading content, address abuse of rating systems, and take action against attempts to manipulate marketplace outcomes.
The existence of reviews or ratings does not constitute an endorsement by Pagia.
7.7 Transaction Monitoring
Pagia reserves the right to monitor Marketplace activity for purposes including fraud prevention, platform security, dispute investigation, legal compliance, risk management, content moderation, and operational integrity.
Where Pagia reasonably believes that a transaction may involve fraud, illegal conduct, infringement, money laundering, sanctions violations, platform abuse, or other harmful activities, Pagia may suspend, delay, restrict, review, or terminate the relevant transaction.
Such actions may be taken without prior notice where reasonably necessary to protect Users, the Platform, business partners, regulatory obligations, or legal rights.
7.8 Marketplace Disputes
Users are encouraged to resolve disputes directly and in good faith.
Where available, Pagia may provide dispute resolution tools, reporting mechanisms, mediation services, or other support resources. However, Pagia is not obligated to adjudicate disputes or to provide legally binding resolutions between Users.
Except where required by applicable law, Pagia shall not be responsible for losses arising from disputes between Users.
The existence of a dispute resolution process does not create any duty on the part of Pagia to act as an arbitrator, court, legal representative, or decision-making authority.
8 Payments, Fees, Earnings, Payouts, and Taxes
8.1 Payment Services
The Platform may facilitate payments relating to purchases, subscriptions, royalties, service engagements, licensing transactions, event participation, donations, publishing services, digital products, physical products, and other commercial activities.
Payment processing services may be provided directly by Pagia, through third-party payment providers, financial institutions, digital asset service providers, or other authorized payment partners.
By initiating or receiving payments through the Platform, Users agree to comply with all applicable payment-related requirements, policies, procedures, and legal obligations.
8.2 Supported Payment Methods
Pagia may support transactions through various payment methods, including fiat currencies, digital assets, cryptocurrencies, stablecoins, electronic payment systems, bank transfers, mobile money services, payment cards, digital wallets, and other payment mechanisms made available from time to time.
The availability of any payment method may vary depending on jurisdiction, regulatory requirements, operational considerations, risk assessments, or third-party provider limitations.
Pagia reserves the right to modify, suspend, restrict, or discontinue any payment method at any time.
8.3 Platform Fees
Certain services offered through the Platform may be subject to fees, commissions, subscriptions, transaction charges, listing fees, service fees, processing fees, conversion fees, administrative fees, premium service fees, or other charges.
Applicable fees shall be disclosed prior to completion of the relevant transaction or subscription.
By using a paid service, the User authorizes Pagia to collect the applicable fees and acknowledges that such fees may be deducted automatically from transaction proceeds, account balances, payouts, or payment instruments where permitted by law.
Unless otherwise stated, all fees are non-refundable.
8.4 Earnings and Creator Revenue
Authors, Publishers, Creative Professionals, Rights Holders, and other eligible Users may earn revenue through transactions conducted on the Platform.
Revenue generated through the Platform shall be calculated in accordance with the applicable pricing structures, commission arrangements, licensing agreements, revenue-sharing models, subscription models, promotional programs, or other commercial terms governing the relevant transaction.
Pagia reserves the right to adjust calculations where necessary to account for refunds, chargebacks, fraud prevention measures, taxes, processing costs, compliance obligations, disputes, currency conversion adjustments, promotional credits, or operational corrections.
All earnings displayed through the Platform are subject to verification and final reconciliation.
8.5 Payouts
Eligible Users may request or receive payouts subject to verification requirements, compliance procedures, minimum payout thresholds, payment provider availability, fraud prevention reviews, tax obligations, and operational requirements.
Pagia reserves the right to delay, suspend, reject, reverse, withhold, offset, or adjust payouts where reasonably necessary to investigate suspicious activity, resolve disputes, enforce Platform policies, comply with legal obligations, recover debts, address chargebacks, prevent fraud, or protect the integrity of the Platform.
Payout timelines are estimates only and shall not constitute guarantees.
8.6 Currency Conversion and Digital Assets
Where transactions involve multiple currencies, digital assets, or cryptocurrency-based payments, conversion rates may be determined by Pagia, its payment partners, market providers, financial institutions, liquidity providers, or other relevant parties.
Users acknowledge that exchange rates may fluctuate and that the value of digital assets may change significantly over time.
Pagia shall not be liable for losses arising from exchange rate fluctuations, market volatility, blockchain delays, network congestion, protocol failures, wallet errors, digital asset risks, or third-party service interruptions.
Users assume full responsibility for evaluating the risks associated with digital asset transactions.
8.7 Chargebacks, Payment Reversals, and Fraud
Where a transaction is reversed, disputed, charged back, refunded, cancelled, or determined to be fraudulent, Pagia reserves the right to recover the relevant amounts from any affected User.
Users agree to cooperate fully in investigations relating to payment disputes, unauthorized transactions, fraud prevention efforts, or regulatory compliance matters.
Failure to cooperate may result in account restrictions, withholding of funds, suspension of services, or termination of access to the Platform.
8.8 Taxes
Users are solely responsible for determining, collecting, reporting, remitting, and paying any taxes arising from their activities on the Platform, including income taxes, withholding taxes, value-added taxes, goods and services taxes, sales taxes, digital services taxes, customs duties, levies, or similar obligations.
Pagia does not provide tax advice and makes no representation regarding the tax consequences of any transaction.
Where required by law, Pagia may collect tax information, report transaction information to relevant authorities, withhold amounts, issue tax documentation, or take other actions necessary to comply with applicable legal obligations.
Users agree to provide any information reasonably required to facilitate such compliance.
8.9 Financial Compliance
To comply with applicable laws, anti-money laundering requirements, sanctions regulations, anti-fraud obligations, counter-terrorism financing measures, financial crime prevention frameworks, and other regulatory obligations, Pagia reserves the right to conduct reviews of Users, transactions, payment activities, and payout requests.
Users agree to cooperate with any lawful compliance inquiries and to provide information reasonably requested by Pagia or its authorized partners.
Failure to comply with compliance requirements may result in suspension of transactions, withholding of funds, account restrictions, termination of services, reporting to competent authorities, or any other action required by applicable law.
9 Rights Licensing, Adaptations, and Derivative Works
9.1 Rights Marketplace and Licensing Opportunities
The Platform may provide infrastructure that enables Users to offer, acquire, negotiate, license, assign, option, transfer, commercialize, or otherwise exploit intellectual property rights associated with creative works.
Such rights may include publishing rights, translation rights, audiobook rights, adaptation rights, distribution rights, merchandising rights, educational rights, performance rights, audiovisual rights, and any other rights recognized under applicable law.
Pagia's role in facilitating such opportunities shall be limited to providing technological infrastructure, communication tools, marketplace functionality, and related services. Except where expressly stated otherwise in a separate written agreement, Pagia shall not become a party to any licensing, assignment, acquisition, option, or commercialization agreement entered into between Users.
Users acknowledge that any rights transaction conducted through the Platform shall be governed by the agreements negotiated and executed between the participating parties.
9.2 Ownership and Authority to License Rights
Any User who offers, licenses, assigns, sells, transfers, or otherwise makes rights available through the Platform represents and warrants that such User possesses the legal authority necessary to undertake the relevant transaction.
The User further represents and warrants that the rights being offered are not subject to undisclosed restrictions, competing claims, conflicting licenses, encumbrances, court orders, contractual limitations, or other legal impediments that would materially affect the transaction.
Pagia shall have no obligation to independently investigate ownership claims, verify chain-of-title documentation, confirm contractual authority, or determine the legal validity of rights offered through the Platform.
All parties engaging in rights transactions are solely responsible for conducting their own due diligence.
9.3 Adaptation Opportunities
The Platform may facilitate opportunities for literary works to be adapted into alternative formats, including audiovisual productions, motion pictures, television productions, streaming content, stage productions, podcasts, interactive media, games, virtual experiences, educational content, or other derivative formats.
The existence of such opportunities shall not create any obligation on the part of Pagia to secure adaptation agreements, identify buyers, procure financing, facilitate production, negotiate commercial terms, guarantee adaptation outcomes, or otherwise participate in the commercial exploitation of creative works.
Users remain solely responsible for negotiating and entering into adaptation agreements.
9.4 Derivative Works
Nothing in these Terms shall authorize any User to create derivative works based upon another User's content without obtaining all necessary rights, permissions, licenses, and approvals required under applicable law.
Any User seeking to adapt, translate, modify, transform, dramatize, commercialize, or otherwise create derivative works based on another User's content shall bear sole responsibility for obtaining the necessary legal authority prior to undertaking such activities.
Pagia shall not be responsible for disputes arising from unauthorized derivative works, disputed permissions, ownership conflicts, licensing disagreements, or competing claims relating to derivative content.
9.5 Artificial Intelligence and Emerging Technologies
The Platform may from time to time introduce tools, services, or technologies that utilize artificial intelligence, machine learning, automated content generation, recommendation systems, translation systems, content analysis systems, or similar technologies.
Unless otherwise expressly agreed in writing, the use of such technologies shall not alter ownership of User Content.
Where User Content is processed through such systems for purposes related to Platform functionality, accessibility, discoverability, content enhancement, adaptation assistance, translation support, screenplay generation, metadata generation, recommendation systems, or similar purposes, such processing shall occur pursuant to the licenses granted under these Terms.
Nothing in this Section shall be interpreted as granting Pagia ownership of User Content or permitting the commercialization of User Content beyond the scope authorized by these Terms or applicable agreements.
9.6 No Guarantee of Commercial Opportunities
Users acknowledge that rights licensing, adaptation opportunities, publishing opportunities, film opportunities, translation opportunities, educational licensing opportunities, and other commercialization opportunities depend upon numerous factors beyond the control of Pagia.
Accordingly, Pagia makes no representation, warranty, or guarantee regarding the availability, value, profitability, success, completion, negotiation, execution, or commercial outcome of any rights-related opportunity made available through the Platform.
All commercial decisions remain the sole responsibility of the participating parties.
10 Acceptable Use and Prohibited Activities
10.1 Lawful Use of the Platform
The Platform may only be used for lawful purposes and in accordance with these Terms, applicable laws, industry standards, and Platform policies.
Users agree to use the Platform in a manner that respects the rights of other Users, protects the integrity of the Platform, and promotes a safe and trustworthy environment for the creative community.
Any use of the Platform that is unlawful, fraudulent, abusive, deceptive, harmful, or inconsistent with the intended purpose of the Platform is strictly prohibited.
10.2 Prohibited Conduct
Users shall not engage in any conduct that may interfere with the operation, security, integrity, reputation, availability, or lawful functioning of the Platform.
Without limiting the generality of the foregoing, Users shall not:
- · engage in fraud, deception, identity theft, impersonation, misrepresentation, or any form of dishonest conduct;
- · submit false, inaccurate, misleading, incomplete, or deceptive information;
- · infringe copyrights, trademarks, patents, trade secrets, publicity rights, privacy rights, or any other intellectual property rights;
- · upload, publish, distribute, or transmit content that is unlawful, defamatory, fraudulent, threatening, abusive, harassing, discriminatory, hateful, obscene, or otherwise objectionable;
- · circumvent security measures, access controls, authentication systems, payment systems, monitoring systems, or technological protection measures implemented by the Platform;
- · introduce viruses, malware, ransomware, spyware, malicious code, bots, automated scripts, or other harmful technologies;
- · engage in unauthorized scraping, data harvesting, automated extraction, crawling, indexing, or collection of information from the Platform;
- · manipulate reviews, ratings, rankings, recommendations, marketplace outcomes, engagement metrics, sales figures, or platform analytics;
- · interfere with another User's ability to access or use the Platform;
- · facilitate, encourage, organize, or participate in unlawful activities through the Platform; or
- · use the Platform in any manner that could expose Pagia, its Users, partners, investors, regulators, or service providers to legal, financial, reputational, or operational harm.
10.3 Content Restrictions
Users shall not upload, publish, distribute, transmit, promote, sell, license, or otherwise make available content that:
- · violates applicable law;
- · infringes intellectual property rights;
- · constitutes plagiarism;
- · promotes fraud or deceptive schemes;
- · contains malicious software;
- · facilitates criminal conduct;
- · incites violence;
- · promotes terrorism or extremist activities;
- · exploits children;
- · violates privacy rights;
- · contains unauthorized personal information;
- · or otherwise creates legal or operational risks for the Platform or its Users.
Pagia reserves the right to establish additional content standards, moderation requirements, publishing criteria, and safety policies from time to time.
10.4 Platform Integrity
Users shall not attempt to manipulate, disrupt, reverse engineer, damage, disable, overburden, exploit, interfere with, or compromise the Platform or any associated systems.
Any attempt to gain unauthorized access to data, systems, networks, accounts, payment infrastructure, administrative functionality, or restricted areas of the Platform shall constitute a material violation of these Terms.
10.5 Investigations and Enforcement
Pagia reserves the right to investigate suspected violations of these Terms, Platform policies, applicable laws, or legitimate complaints received from Users, rights holders, regulatory authorities, business partners, or other stakeholders.
In connection with such investigations, Pagia may review content, examine transaction records, request information, verify documentation, restrict access to services, suspend transactions, remove content, preserve evidence, cooperate with authorities, or take any other action reasonably necessary to protect the Platform and its stakeholders.
Failure to cooperate with a lawful investigation may result in suspension or termination of access to the Platform.
10.6 Reservation of Enforcement Rights
Nothing in these Terms shall be interpreted as creating an obligation on the part of Pagia to monitor all activity, review all content, investigate every complaint, or enforce every potential violation.
Pagia reserves the right to determine, in its sole discretion and subject to applicable law, the appropriate response to any conduct that may threaten the safety, integrity, functionality, reputation, legal compliance, or commercial viability of the Platform.
11 Copyright Complaints, Intellectual Property Disputes, and Takedown Procedures
11.1 Respect for Intellectual Property Rights
Pagia respects the intellectual property rights of authors, publishers, creators, rights holders, businesses, and third parties, and expects all Users of the Platform to do the same.
Users may not upload, publish, distribute, license, transmit, sell, promote, or otherwise make available any content that infringes or misappropriates the intellectual property rights of another person or entity.
Users acknowledge that intellectual property rights are fundamental to the operation of the Platform and that violations of such rights may result in content removal, account restrictions, legal action, financial liability, and other enforcement measures.
11.2 Submission of Infringement Complaints
Any person or entity who believes that content available through the Platform infringes their copyright, trademark, publicity rights, moral rights, proprietary rights, or other intellectual property rights may submit a complaint to Pagia.
Such complaint should include sufficient information to enable Pagia to identify the allegedly infringing material, evaluate the complaint, communicate with the complaining party, and undertake appropriate actions.
Pagia reserves the right to request additional information, supporting documentation, ownership records, registration certificates, contractual evidence, chain-of-title records, proof of authority, identification documents, or any other information reasonably necessary to assess a complaint.
Submission of a complaint does not guarantee removal of content, suspension of a User, or a determination in favor of the complaining party.
11.3 Investigation of Complaints
Upon receipt of a complaint, Pagia may undertake such investigations as it considers reasonably necessary under the circumstances.
Such investigations may include reviewing content, examining account information, requesting information from the parties involved, reviewing transaction records, evaluating ownership claims, consulting external advisors, or taking other investigative measures.
Pagia shall not be obligated to adjudicate ownership disputes, determine legal rights, interpret contracts, resolve complex intellectual property claims, or act as a court of law.
Users acknowledge that Pagia may be unable to conclusively determine the merits of certain disputes and may require the parties to resolve such matters through appropriate legal channels.
11.4 Temporary Restriction of Content
Where Pagia reasonably believes that content may infringe intellectual property rights, violate applicable law, expose the Platform to legal risk, or otherwise require review, Pagia may temporarily remove, disable, suspend, restrict, de-index, demonetize, or otherwise limit access to the relevant content.
Such action may be taken prior to completion of an investigation where Pagia considers such action reasonably necessary to protect rights holders, Users, business partners, legal interests, or Platform integrity.
Temporary restrictions shall not constitute an admission of infringement, liability, wrongdoing, or fault by any party.
11.5 Counter-Notices and Responses
A User whose content has been removed, restricted, suspended, or otherwise affected by an intellectual property complaint may submit a response, counter-notice, explanation, authorization documentation, licensing evidence, ownership records, legal opinions, court orders, or other supporting materials.
Pagia may review such information and may restore, maintain, modify, or continue restrictions based upon the circumstances presented.
Nothing in this Section shall require Pagia to restore content where legal uncertainty, ongoing disputes, regulatory concerns, or risk considerations justify continued restriction.
11.6 Repeat Infringers
Pagia reserves the right to suspend, restrict, or permanently terminate the Accounts of Users who repeatedly engage in intellectual property infringement or who repeatedly submit content that violates the rights of others.
In determining whether a User constitutes a repeat infringer, Pagia may consider the number of complaints received, the seriousness of the alleged violations, prior enforcement actions, evidence presented by the parties, legal findings, and other relevant factors.
11.7 Intellectual Property Disputes Between Users
Users acknowledge that disputes regarding ownership, authorship, licensing authority, publishing rights, adaptation rights, royalty entitlements, contractual obligations, chain-of-title claims, collaboration agreements, and similar matters may arise between Users.
Pagia is not responsible for resolving such disputes and shall not be obligated to determine legal ownership of rights, intellectual property, royalties, revenues, or contractual interests.
Users remain solely responsible for resolving such disputes through negotiation, mediation, arbitration, litigation, or other lawful means.
Pagia may, at its discretion, take temporary operational measures while disputes remain unresolved.
11.8 Cooperation with Legal Authorities
Pagia reserves the right to cooperate with courts, regulatory authorities, law enforcement agencies, intellectual property offices, arbitration panels, rights organizations, and other competent authorities where required by law or where reasonably necessary to protect legal rights and interests.
Such cooperation may include the preservation of records, disclosure of information, suspension of services, restriction of content, or implementation of lawful directives.
12 Community Standards, Communications, and User Interactions
12.1 Community Principles
Pagia is intended to serve as a professional, collaborative, and inclusive environment for creators, readers, publishers, creative professionals, educators, businesses, rights holders, and other participants within the creative economy.
Users are expected to engage with one another in a manner that promotes constructive participation, mutual respect, professional integrity, and meaningful collaboration.
The continued growth and sustainability of the Platform depend upon maintaining a safe and trustworthy environment for all participants.
12.2 User Communications
The Platform may provide communication tools that enable Users to exchange messages, participate in discussions, collaborate on projects, negotiate transactions, share information, attend events, participate in communities, engage in educational activities, or otherwise interact with one another.
Users remain solely responsible for all communications conducted through the Platform.
Pagia does not endorse, verify, monitor, guarantee, or assume responsibility for statements, opinions, representations, commitments, promises, or information communicated by Users.
Any reliance upon communications made by another User is undertaken at the recipient's own risk.
12.3 Respectful Conduct
Users shall conduct themselves in a respectful and professional manner when interacting with others through the Platform.
Users shall not engage in harassment, intimidation, discrimination, threats, bullying, hate speech, abusive conduct, stalking, coercion, extortion, retaliation, or other conduct that may reasonably be considered harmful, offensive, intimidating, or disruptive.
The determination of whether particular conduct violates this Section shall be made by Pagia in its reasonable discretion and in accordance with applicable law.
12.4 Professional Integrity
Users who offer services, publish content, represent organizations, manage communities, participate in transactions, or otherwise engage in professional activities through the Platform shall conduct themselves honestly and in good faith.
Users shall not knowingly misrepresent qualifications, experience, credentials, affiliations, achievements, ownership interests, licensing authority, commercial opportunities, business relationships, or any other material information.
Users shall not engage in deceptive marketing practices, fraudulent solicitations, misleading advertising, false endorsements, fabricated testimonials, or similar conduct.
12.5 Community Participation
The Platform may include forums, discussion spaces, communities, events, educational programs, social features, collaborative workspaces, virtual environments, and similar engagement opportunities.
Participation in such spaces is a privilege and not a right.
Pagia reserves the right to establish participation requirements, moderation standards, eligibility criteria, content restrictions, community rules, access controls, and operational guidelines applicable to any community feature.
Users acknowledge that community spaces may be moderated to maintain safety, quality, relevance, and compliance.
12.6 Reporting Concerns
Users are encouraged to report suspected violations of these Terms, community standards, intellectual property rights, legal requirements, safety concerns, fraudulent conduct, abusive behavior, or other matters that may adversely affect the Platform or its Users.
Pagia may review reports, investigate concerns, request information, preserve evidence, restrict access, remove content, suspend accounts, or take other actions deemed reasonably necessary under the circumstances.
The submission of a report does not guarantee a particular outcome, enforcement action, or response.
12.7 Monitoring and Moderation
Pagia reserves the right, but not the obligation, to monitor communications, content, activities, events, transactions, community spaces, and interactions occurring through the Platform for purposes including safety, legal compliance, quality assurance, fraud prevention, risk management, policy enforcement, and operational integrity.
Users acknowledge that moderation decisions may involve subjective judgment and that Pagia retains discretion in determining how best to enforce community standards and Platform policies.
Nothing in this Section shall create an obligation for Pagia to review all content, monitor all communications, prevent all misconduct, or detect all violations.
12.8 Preservation of Platform Integrity
Pagia reserves the right to remove content, restrict communications, suspend participation privileges, terminate access to community features, limit engagement opportunities, or take other enforcement measures where reasonably necessary to protect Users, maintain Platform integrity, ensure legal compliance, preserve community trust, or safeguard the long-term sustainability of the Platform.
Such actions may be taken without prior notice where circumstances reasonably require immediate intervention.
13 . Suspension, Enforcement, and Termination
13.1 Enforcement Authority
Pagia reserves the right to take such actions as it reasonably considers necessary to protect the Platform, its Users, business partners, rights holders, service providers, regulatory obligations, intellectual property rights, commercial interests, operational integrity, and legal compliance.
Such actions may be taken where Pagia reasonably believes that a User has violated these Terms, applicable policies, applicable law, contractual obligations, community standards, intellectual property rights, payment requirements, regulatory requirements, or other rules governing the use of the Platform.
Nothing in these Terms shall limit Pagia's ability to take immediate action where circumstances reasonably require intervention.
13.2 Investigations and Compliance Reviews
Pagia may investigate conduct, content, transactions, communications, activities, accounts, rights claims, payment activities, marketplace behavior, publishing activities, or other matters where it reasonably believes that review is necessary.
In connection with any investigation, Pagia may request information, require documentation, conduct verification procedures, review records, preserve evidence, engage advisors, consult service providers, cooperate with authorities, or take other actions reasonably necessary to assess compliance.
Users agree to cooperate fully and promptly with any lawful investigation or compliance review conducted by Pagia.
Failure to cooperate may constitute an independent violation of these Terms.
13.3 Enforcement Measures
Where Pagia determines that enforcement action is appropriate, Pagia may implement one or more measures including warnings, content restrictions, content removal, demonetization, transaction restrictions, payout holds, account limitations, temporary suspensions, permanent suspensions, termination of services, cancellation of transactions, revocation of privileges, restriction of access to specific features, or any other action reasonably necessary under the circumstances.
The nature and severity of any enforcement action shall be determined by Pagia in its reasonable discretion and may take into account factors including the seriousness of the conduct, prior violations, risk exposure, legal obligations, harm to Users, and the overall interests of the Platform.
Pagia shall not be obligated to apply identical enforcement measures in every case.
13.4 Emergency Actions
Pagia reserves the right to take immediate action without prior notice where it reasonably believes that such action is necessary to prevent harm, protect legal rights, preserve evidence, comply with legal obligations, maintain Platform security, prevent fraud, protect intellectual property, safeguard Users, or address urgent operational concerns.
Emergency actions may include immediate suspension of accounts, removal of content, restriction of transactions, withholding of payouts, disabling of services, or other protective measures.
13.5 User-Initiated Termination
A User may discontinue use of the Platform and request closure of their Account at any time, subject to any outstanding obligations, pending transactions, unresolved disputes, compliance reviews, legal requirements, payment obligations, or contractual commitments.
Closure of an Account shall not automatically remove content, terminate active agreements, reverse completed transactions, eliminate accrued obligations, or extinguish rights previously granted.
Pagia may retain information where necessary for legal, regulatory, operational, accounting, security, archival, dispute resolution, fraud prevention, or record-keeping purposes.
13.6 Termination by Pagia
Pagia may suspend or terminate a User's access to all or part of the Platform at any time where Pagia reasonably determines that:
- · the User has violated these Terms;
- · the User has violated applicable law;
- · the User poses a risk to other Users;
- · the User has engaged in fraudulent, deceptive, abusive, unlawful, or harmful conduct;
- · the User has infringed intellectual property rights;
- · continued access would expose Pagia or its stakeholders to legal, regulatory, operational, financial, reputational, or security risks; or
- · termination is otherwise necessary to protect the Platform and its legitimate interests.
Where appropriate, Pagia may provide notice prior to termination. However, Pagia shall not be obligated to provide advance notice where immediate action is reasonably necessary.
13.7 Effect of Termination
Upon termination, a User's right to access and use the Platform shall immediately cease except to the extent otherwise permitted by Pagia.
Termination shall not affect rights, obligations, liabilities, remedies, licenses, indemnities, payment obligations, dispute obligations, ownership rights, confidentiality obligations, accrued claims, or other provisions that by their nature are intended to survive termination.
Pagia may retain and preserve information following termination as permitted or required by law and in accordance with applicable policies.
13.8 Reservation of Rights
The failure of Pagia to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision or any other provision at a later time.
All rights and remedies available to Pagia under these Terms, applicable law, equity, or otherwise shall be cumulative and not exclusive.
14 . Disclaimers and No Warranties
14.1 Nature of the Platform
The Platform is provided as a technology infrastructure that enables publishing, distribution, collaboration, transactions, licensing opportunities, communication, creative services, content discovery, community participation, monetization, and related activities.
Users acknowledge that the Platform functions as an intermediary environment in which numerous activities are conducted by independent Users.
Accordingly, many aspects of the Platform depend upon the actions, decisions, conduct, content, performance, representations, and agreements of third parties over whom Pagia exercises limited or no control.
14.2 Services Provided "As Is"
To the fullest extent permitted by applicable law, the Platform and all services made available through it are provided on an "as is," "as available," and "with all faults" basis.
Pagia makes no representations, warranties, guarantees, or assurances of any kind, whether express, implied, statutory, or otherwise, regarding the Platform or any services provided through it.
To the fullest extent permitted by law, Pagia expressly disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, reliability, accuracy, security, compatibility, performance, quality, and uninterrupted operation.
14.3 No Guarantee of Commercial Success
Pagia does not guarantee that any User will achieve publication success, readership growth, sales performance, commercial profitability, licensing opportunities, adaptation opportunities, creative engagements, marketplace transactions, audience development, revenue generation, investment opportunities, or any other desired outcome through use of the Platform.
Users acknowledge that creative, publishing, commercial, and marketplace outcomes are influenced by numerous factors beyond Pagia's control.
Any examples, case studies, testimonials, success stories, projections, analytics, recommendations, insights, educational materials, promotional materials, or other information provided through the Platform shall not constitute guarantees of future results.
14.4 No Guarantee Regarding User Conduct
Pagia does not guarantee the identity, honesty, qualifications, expertise, authority, ownership claims, legal compliance, financial capacity, professional competence, reliability, performance, or conduct of any User.
Users assume all risks associated with interacting, communicating, transacting, collaborating, licensing rights, purchasing services, selling products, engaging publishers, hiring creative professionals, or otherwise dealing with other Users.
Any transaction or relationship entered into through the Platform is undertaken entirely at the User's own risk.
14.5 No Warranty Regarding Content
Pagia does not guarantee the accuracy, completeness, originality, legality, quality, usefulness, safety, reliability, authenticity, ownership status, or suitability of any content available through the Platform.
Content made available by Users reflects the views and actions of those Users and not those of Pagia.
Users remain solely responsible for evaluating content before relying upon it.
14.6 Technology Risks
Users acknowledge that the operation of online platforms involves inherent technological risks.
The Platform may experience interruptions, outages, delays, security incidents, cyberattacks, data loss, software defects, compatibility issues, maintenance periods, infrastructure failures, communication failures, payment disruptions, third-party service interruptions, blockchain network issues, or other operational challenges.
Pagia does not warrant that the Platform will operate continuously, securely, error-free, or without interruption.
14.7 Third-Party Services
The Platform may integrate with or depend upon third-party providers, including payment processors, cloud providers, communication providers, analytics providers, publishers, distribution partners, financial institutions, identity verification providers, blockchain networks, digital asset providers, and other service providers.
Pagia does not control such third-party services and shall not be responsible for their acts, omissions, failures, performance, availability, security, accuracy, legality, or reliability.
Use of third-party services may be subject to separate agreements between the User and the relevant provider.
14.8 Jurisdictional Availability
Pagia does not represent or warrant that the Platform, any feature of the Platform, or any content made available through the Platform is appropriate, lawful, or available in every jurisdiction.
Users are solely responsible for determining whether their use of the Platform complies with applicable laws in their jurisdiction.
14.9 Maximum Disclaimer Permitted by Law
Certain jurisdictions may not permit the exclusion of certain warranties or limitations.
Where applicable law prohibits the exclusion of particular warranties, the exclusions contained in these Terms shall apply to the fullest extent permitted by law.
Nothing in these Terms shall exclude or limit any rights that cannot lawfully be excluded or limited under applicable law.
15 . Limitation of Liability and Indemnification
15.1 Allocation of Risk
The parties acknowledge and agree that the limitations, exclusions, disclaimers, and indemnities contained in these Terms constitute an essential basis of the agreement between the User and Pagia.
The fees charged by Pagia, including any free services made available through the Platform, reflect the allocation of risk contemplated by these Terms.
Absent such limitations, exclusions, and allocations of risk, Pagia would not be able to provide the Platform on commercially reasonable terms.
15.2 Exclusion of Certain Damages
To the fullest extent permitted by applicable law, Pagia, its affiliates, shareholders, directors, officers, employees, contractors, agents, licensors, service providers, successors, and assigns shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or aggravated damages arising out of or relating to the Platform, the Services, these Terms, or any transaction conducted through the Platform.
This exclusion shall apply regardless of the legal theory upon which a claim is based and regardless of whether Pagia was advised of the possibility of such damages.
Without limitation, Pagia shall not be liable for loss of profits, loss of revenue, loss of business opportunities, loss of contracts, loss of customers, loss of goodwill, reputational harm, business interruption, loss of anticipated savings, loss of data, corruption of data, loss of intellectual property value, loss of publishing opportunities, loss of licensing opportunities, or loss arising from failed commercial transactions.
15.3 Limitation of Monetary Liability
To the fullest extent permitted by applicable law, the aggregate liability of Pagia arising out of or relating to the Platform, the Services, these Terms, or any related matter shall not exceed the greater of:
(a) the total amount of fees actually paid by the User to Pagia during the twelve (12) months immediately preceding the event giving rise to the claim; or
(b) One Hundred United States Dollars (US$100).
This limitation shall apply regardless of the number of claims asserted, the legal theory advanced, or the form of action pursued.
Where a User has not paid any fees to Pagia during the relevant period, the User agrees that the maximum liability of Pagia shall not exceed One Hundred United States Dollars (US$100) or its equivalent in local currency.
15.4 Liability for User Conduct
Pagia shall not be responsible for the acts, omissions, conduct, statements, representations, content, transactions, services, products, rights offerings, licensing activities, business dealings, contractual breaches, fraud, negligence, misconduct, or unlawful activities of any User.
Any claims arising from interactions between Users shall be resolved directly between the parties involved.
Users expressly release Pagia from claims, demands, liabilities, damages, losses, and expenses arising from disputes between Users.
15.5 Liability for Content
Pagia shall not be liable for any content uploaded, published, distributed, licensed, displayed, transmitted, sold, adapted, marketed, or otherwise made available by Users.
Users acknowledge that Pagia acts as an intermediary platform and does not exercise editorial control over all content made available through the Platform.
Responsibility for User Content remains solely with the User who submitted or controls such content.
15.6 Liability Relating to Marketplace Transactions
Pagia shall not be liable for losses arising from publishing agreements, creative service engagements, licensing arrangements, distribution arrangements, production services, rights transactions, adaptation agreements, payment disputes, delivery failures, quality concerns, contractual breaches, or other transactions conducted through the Platform.
Users assume responsibility for conducting their own due diligence and for managing the risks associated with commercial relationships established through the Platform.
15.7 Force Majeure
Pagia shall not be liable for any delay, interruption, failure, loss, damage, inability to perform, or service disruption arising from circumstances beyond its reasonable control.
Such circumstances may include natural disasters, acts of government, war, terrorism, civil unrest, labor disputes, internet outages, telecommunications failures, cybersecurity incidents, infrastructure failures, public health emergencies, sanctions, regulatory actions, supply chain disruptions, power failures, blockchain network failures, financial system disruptions, or similar events.
15.8 User Indemnification
The User agrees to defend, indemnify, and hold harmless Pagia, its affiliates, shareholders, directors, officers, employees, contractors, advisors, agents, licensors, service providers, successors, and assigns from and against any and all claims, demands, actions, proceedings, investigations, liabilities, damages, judgments, settlements, penalties, fines, losses, costs, and expenses, including reasonable legal fees and professional fees, arising out of or relating to:
- · the User's use of the Platform;
- · the User's violation of these Terms;
- · the User's violation of applicable laws or regulations;
- · the User's infringement or alleged infringement of intellectual property rights;
- · the User's content;
- · the User's transactions conducted through the Platform;
- · the User's misrepresentations, fraud, negligence, misconduct, or unlawful activities; or
- · any dispute between the User and another User, publisher, creator, rights holder, customer, service provider, or third party.
15.9 Defense of Claims
Pagia reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by a User.
Where Pagia elects to do so, the User agrees to cooperate fully in the defense, settlement, investigation, or resolution of the matter.
Nothing in this Section shall relieve the User of their indemnification obligations.
15.10 Jurisdictional Limitations
Certain jurisdictions may not permit the exclusion or limitation of certain liabilities.
In such cases, the limitations contained in this Section shall apply to the fullest extent permitted by applicable law.
Nothing in these Terms shall exclude or limit liability where such exclusion or limitation would be unlawful.
16 . Governing Law, Dispute Resolution, and Arbitration
16.1 Governing Law
These Terms, the Platform, the Services, and any dispute, controversy, claim, or matter arising out of or relating to them shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.
The application of any international convention governing contracts for the sale of goods is expressly excluded to the extent permitted by law.
16.2 Good Faith Resolution
Before commencing formal legal proceedings, the parties agree to make reasonable efforts to resolve disputes through good-faith discussions and negotiations.
A party seeking to raise a dispute should provide written notice describing the nature of the dispute, the relevant facts, and the relief sought.
The parties shall endeavor to resolve the dispute through direct engagement within a reasonable period following such notice.
Nothing in this Section shall prevent either party from seeking urgent injunctive relief where necessary to prevent immediate harm.
16.3 Informal Resolution Process
Where a dispute cannot be resolved through direct discussions, Pagia may, but shall not be obligated to, facilitate informal dispute resolution processes, mediation discussions, settlement negotiations, or other non-binding mechanisms.
Participation in such processes shall not constitute an admission of liability by any party.
Any settlement reached shall be binding only if reduced to writing and accepted by the parties involved.
16.4 Binding Arbitration
Subject to applicable law, any dispute, controversy, claim, or disagreement arising out of or relating to these Terms, the Platform, the Services, or the relationship between the parties shall be finally resolved through binding arbitration.
- [1] The arbitration shall be conducted by a recognized arbitration institution or under arbitration rules designated by Pagia at the time the dispute arises.
- [2] The arbitration shall be conducted by a single arbitrator unless the applicable rules require otherwise.
- [3] The seat of arbitration shall be Lagos, Nigeria.
- [4] The language of the arbitration shall be English.
- [5] The decision of the arbitrator shall be final and binding upon the parties and may be enforced in any court of competent jurisdiction.
16.5 Class Action Waiver
To the fullest extent permitted by law, Users agree that disputes shall be brought solely in an individual capacity and not as a plaintiff, claimant, representative, member, or participant in any class action, collective action, representative action, consolidated proceeding, or similar process.
The arbitrator shall not have authority to consolidate claims involving multiple parties without the consent of all affected parties.
16.6 Injunctive Relief
Notwithstanding any other provision of these Terms, Pagia may seek temporary, preliminary, or permanent injunctive relief, equitable relief, specific performance, protective orders, or other urgent remedies from a court of competent jurisdiction where necessary to protect intellectual property rights, confidential information, platform security, business operations, legal rights, or other legitimate interests.
The availability of such remedies shall not be deemed inconsistent with the arbitration provisions contained in these Terms.
16.7 Jurisdiction for Non-Arbitrable Matters
Where a dispute is determined by applicable law to be incapable of resolution through arbitration, the parties agree that such dispute shall be submitted exclusively to the competent courts located in Lagos State, Nigeria.
The parties irrevocably submit to the jurisdiction of such courts and waive objections based on venue, forum non conveniens, or similar doctrines.
16.8 Time Limitation for Claims
To the fullest extent permitted by law, any claim arising out of or relating to the Platform, the Services, or these Terms must be commenced within one (1) year after the event giving rise to the claim first occurred.
Claims not commenced within such period shall be permanently barred.
This limitation shall not apply where applicable law prohibits such restriction.
17 Miscellaneous Provisions
17.1 Entire Agreement
These Terms, together with any policies, guidelines, notices, disclosures, agreements, schedules, supplemental terms, and other documents expressly incorporated by reference, constitute the entire agreement between the User and Pagia concerning the Platform and the Services.
These Terms supersede all prior or contemporaneous communications, discussions, negotiations, understandings, representations, warranties, proposals, and agreements, whether oral or written, relating to the subject matter herein.
No User shall be entitled to rely upon any statement, representation, promise, assurance, or understanding not expressly set forth in these Terms or in a written agreement executed by Pagia.
17.2 Modifications to the Terms
Pagia reserves the right to modify, amend, update, supplement, replace, or revise these Terms from time to time.
Where required by applicable law, Pagia shall provide notice of material changes through the Platform, electronic communications, publication on the Platform, or other reasonable means.
Unless otherwise required by law, continued access to or use of the Platform following the effective date of revised Terms shall constitute acceptance of the revised Terms.
If a User does not agree to revised Terms, the User must discontinue use of the Platform and may terminate their Account in accordance with applicable procedures.
17.3 Electronic Communications
The User agrees that Pagia may communicate with the User electronically for purposes relating to the Platform, the Services, these Terms, transactions, legal notices, compliance matters, account administration, operational updates, security notifications, marketing communications, and other matters connected with the User's relationship with Pagia.
Electronic communications may be delivered through email, platform notifications, text messages, mobile applications, dashboards, websites, digital wallets, or other electronic means.
The User acknowledges that electronic communications satisfy any legal requirement that communications be provided in writing.
17.4 Assignment
The User may not assign, transfer, delegate, sublicense, pledge, encumber, or otherwise dispose of any rights or obligations arising under these Terms without the prior written consent of Pagia.
Any purported assignment in violation of this Section shall be null and void.
Pagia may assign, transfer, delegate, subcontract, novate, restructure, merge, reorganize, or otherwise dispose of its rights and obligations under these Terms without restriction, including in connection with mergers, acquisitions, investments, financing transactions, corporate reorganizations, asset sales, or transfers of business operations.
These Terms shall bind and benefit the parties and their respective successors and permitted assigns.
17.5 Severability
If any provision of these Terms is determined by a court, arbitrator, regulator, or competent authority to be invalid, unlawful, unenforceable, or void, such provision shall be interpreted, modified, or limited to the minimum extent necessary to render it enforceable while preserving its intended purpose.
If such modification is not possible, the affected provision shall be deemed severed from these Terms.
The remaining provisions shall continue in full force and effect and shall not be affected by the invalidity, unenforceability, or removal of any provision.
17.6 Waiver
No waiver by Pagia of any right, remedy, breach, default, or provision of these Terms shall be effective unless expressly made in writing.
The failure or delay by Pagia in exercising any right, power, remedy, or privilege shall not constitute a waiver of such right, power, remedy, or privilege.
Any waiver of a particular breach or violation shall not constitute a waiver of any subsequent breach, violation, or default.
17.7 Independent Relationship of the Parties
Nothing contained in these Terms shall be interpreted as creating a partnership, joint venture, agency relationship, employment relationship, fiduciary relationship, franchise relationship, brokerage relationship, or similar legal relationship between Pagia and any User.
Users participate on the Platform as independent parties acting on their own behalf and at their own risk.
Except where expressly stated in a separate written agreement, neither party shall have authority to bind the other.
17.8 Third-Party Beneficiaries
Except as expressly provided herein, these Terms are intended solely for the benefit of Pagia and the User.
No third party shall acquire any rights, remedies, claims, causes of action, or benefits under these Terms solely by virtue of these Terms.
Nothing in this Section shall limit rights that may arise under applicable law.
17.9 Survival
Any provision of these Terms that by its nature should survive suspension, expiration, termination, or cessation of the relationship between the parties shall survive such event.
Without limitation, provisions relating to intellectual property rights, licenses, payment obligations, indemnification, limitation of liability, dispute resolution, confidentiality, enforcement, compliance, investigations, ownership rights, and accrued obligations shall survive termination.
17.10 Interpretation
Headings, titles, captions, and organizational structures within these Terms are included solely for convenience and shall not affect interpretation.
Unless the context requires otherwise, references to the singular shall include the plural, references to the plural shall include the singular, references to one gender shall include all genders, and references to persons shall include individuals, corporations, partnerships, organizations, governmental bodies, and other legal entities.
The words "including," "includes," and similar expressions shall be interpreted as meaning "including without limitation."
No rule of interpretation requiring construction against the drafting party shall apply to these Terms.
17.11 Language
These Terms are drafted in the English language.
Where translations are made available for convenience, the English version shall govern in the event of any inconsistency, conflict, ambiguity, or discrepancy between versions, except where applicable law requires otherwise.
17.12 Reservation of Rights
All rights not expressly granted under these Terms are reserved by Pagia.
The exercise of any right or remedy by Pagia shall not preclude the exercise of any other right or remedy available under these Terms, at law, in equity, or otherwise.
18 . Contact Information and Legal Notices
18.1 Platform Operator
The Platform is owned and operated by Pagia and its affiliated entities, subsidiaries, successors, assigns, service providers, and authorized representatives, as applicable.
References to "Pagia," "we," "our," or "us" throughout these Terms shall include the applicable entity responsible for operating the Platform and providing the Services.
18.2 Contact Information
Users may contact Pagia regarding these Terms, the Platform, legal matters, compliance issues, intellectual property complaints, privacy inquiries, dispute notices, regulatory matters, or other official communications through the contact channels published on the Platform.
Pagia may update its contact information from time to time, and Users are responsible for consulting the Platform for the most current contact details.
For legal notices, Users should utilize the designated legal contact channels identified by Pagia.
18.3 Legal Notices
Any legal notice required or permitted under these Terms shall be provided in writing and delivered through a method reasonably calculated to provide notice.
Such methods may include electronic mail, registered mail, courier delivery, platform notifications, digital communication systems, or other methods recognized by applicable law.
Unless otherwise required by law, notices shall be deemed effective upon successful transmission, delivery, publication, or receipt, as applicable.
18.4 Regulatory and Compliance Communications
Pagia reserves the right to communicate with Users regarding regulatory requirements, compliance obligations, investigations, enforcement matters, intellectual property complaints, payment reviews, security incidents, legal proceedings, government requests, or other matters necessary to comply with applicable law or protect legitimate interests.
Users acknowledge that such communications may be mandatory and may not be subject to marketing communication preferences.
18.5 Intellectual Property and Legal Complaints
Complaints concerning alleged copyright infringement, trademark infringement, rights violations, unauthorized content use, ownership disputes, licensing issues, or related matters should be submitted through the designated intellectual property reporting channels made available by Pagia.
Pagia reserves the right to establish procedures, evidentiary requirements, verification standards, documentation requirements, and review processes applicable to such complaints.
Submission of a complaint does not guarantee any particular action, outcome, or resolution.
18.6 Effective Date
These Terms shall become effective upon publication on the Platform or upon such later date as may be specified by Pagia.
By accessing, browsing, registering for, publishing through, transacting on, or otherwise using the Platform, the User acknowledges that they have read, understood, and agreed to be bound by these Terms.
18.7 Acceptance
BY ACCESSING OR USING THE PLATFORM, THE USER ACKNOWLEDGES AND AGREES THAT THEY HAVE READ THESE TERMS, UNDERSTAND THEIR CONTENTS, AND AGREE TO BE LEGALLY BOUND BY THEM.
IF THE USER DOES NOT AGREE TO THESE TERMS, THE USER MUST NOT ACCESS OR USE THE PLATFORM.
