PAGIA PLATFORM PARTICIPATION AGREEMENT (PPA)

This Platform Participation Agreement ("Agreement") is entered into between Pagia ("Pagia," "Platform," "we," "our," or "us") and any Author, Publisher, Creative Professional, Rights Holder, Distributor, Production Partner, Educator, Business User, Service Provider, or other participant ("Participant," "you," or "your") who uses Pagia's commercial, publishing, licensing, marketplace, creator, or monetization services.
This Agreement supplements the Pagia Terms of Service. In the event of any conflict between this Agreement and the Terms of Service, this Agreement shall govern solely with respect to the Participant's commercial participation activities.
By registering for, applying to, participating in, publishing through, selling through, licensing through, monetizing through, or otherwise engaging in Pagia's creator ecosystem, you agree to be legally bound by this Agreement.
1.1 Purpose of the Agreement
The purpose of this Agreement is to establish the rights, obligations, responsibilities, commercial terms, and participation framework applicable to individuals and organizations that utilize Pagia's publishing, marketplace, monetization, licensing, adaptation, collaboration, educational, and creative economy services.
Participation in the Platform constitutes participation in a digital ecosystem designed to facilitate the creation, distribution, commercialization, discovery, licensing, adaptation, and monetization of creative and intellectual property assets.
1.2 Participant Categories
Participants may include, without limitation:
- 1. Authors;
- 2. Publishers;
- 3. Bookstores;
- 4. Literary Agents;
- 5. Editors;
- 6. Designers;
- 7. Illustrators;
- 8. Translators;
- 9. Narrators;
- 10. Educators;
- 11. Researchers;
- 12. Filmmakers;
- 13. Production Studios;
- 14. Rights Buyers;
- 15. Rights Sellers;
- 16. Creative Professionals;
- 17. Content Creators;
- 18. Distributors;
- 19. Technology Partners;
- 20. Educational Institutions;
- 21. Businesses; and
- 22. other approved participants.
Pagia may create, modify, suspend, or retire participation categories at any time.
1.3 Participant Eligibility
To participate in Pagia's commercial ecosystem, Participants must possess the legal capacity necessary to enter into binding agreements.
Participants acting on behalf of organizations represent and warrant that they possess authority to bind the relevant organization.
Pagia reserves the right to establish verification procedures, qualification standards, identity verification requirements, professional accreditation requirements, or other eligibility requirements applicable to particular participation categories.
1.4 Content Ownership
Participants retain ownership of intellectual property rights associated with content they own or control, subject to the licenses granted under this Agreement and the Terms of Service.
Nothing in this Agreement transfers ownership of intellectual property rights to Pagia unless expressly agreed in writing.
Participants remain solely responsible for protecting, registering, enforcing, and managing their intellectual property rights.
1.5 Commercial Participation License
To enable operation of the Platform, each Participant grants Pagia a worldwide, non-exclusive, sublicensable, transferable, royalty-free license to host, store, reproduce, distribute, display, transmit, promote, market, analyze, index, archive, and otherwise utilize content, metadata, trademarks, promotional materials, and related assets in connection with Platform operations.
This license includes the right to facilitate discovery, sales, licensing opportunities, adaptation opportunities, educational opportunities, marketplace activities, analytics services, promotional activities, recommendation systems, and future Platform services.
1.6 Revenue Generation and Monetization
Participants may generate revenue through one or more monetization channels made available through the Platform.
Such channels may include book sales, digital content sales, subscriptions, memberships, licensing transactions, educational content, adaptation opportunities, creative services, royalties, commissions, sponsorships, grants, crowdfunding campaigns, marketplace transactions, events, and future monetization models introduced by Pagia.
Participation in any monetization program is subject to eligibility requirements, compliance reviews, verification procedures, and operational policies established by Pagia.
1.7 Revenue Sharing Framework
Where a transaction generates revenue through the Platform, Pagia shall be entitled to collect applicable Platform fees, commissions, service charges, transaction fees, processing fees, conversion fees, taxes, or other charges disclosed to Participants.
The applicable revenue share shall be determined by the commercial terms governing the specific service, program, transaction, marketplace, subscription, licensing arrangement, publishing arrangement, or monetization opportunity.
Pagia reserves the right to modify revenue-sharing structures upon reasonable notice.
1.8 Publishing Participation Program
Authors and Publishers may participate in Pagia's publishing ecosystem through programs established by the Platform.
Participation may include digital publishing, physical publishing, print-on-demand services, distribution services, marketing services, rights marketplaces, educational distribution, adaptation opportunities, and related publishing services.
Pagia does not guarantee publication approval, commercial success, sales performance, readership growth, or distribution outcomes.
1.9 Rights Marketplace Participation
Participants may offer rights for licensing, acquisition, optioning, assignment, adaptation, translation, educational use, audiovisual production, merchandising, and other lawful commercial purposes.
Participants offering rights represent and warrant that they possess legal authority to do so.
Pagia does not independently verify ownership claims and is not responsible for disputes arising from rights transactions.
1.10 Film, Television, Audio, and Adaptation Programs
Pagia may facilitate opportunities for creative works to be adapted into films, television productions, streaming content, audio productions, podcasts, educational experiences, immersive experiences, interactive media, gaming experiences, virtual environments, or other derivative formats.
Participation in such programs does not guarantee financing, production, acquisition, distribution, commercial success, or execution of adaptation agreements.
All adaptation agreements shall be negotiated directly between the relevant parties unless otherwise expressly stated by Pagia.
1.11 Marketplace Services
Participants may buy, sell, offer, request, commission, provide, or receive services through the Platform.
Participants remain solely responsible for defining project scope, negotiating contractual terms, managing deliverables, resolving disputes, and fulfilling obligations arising from marketplace transactions.
Pagia is not a party to such agreements unless expressly stated otherwise.
1.12 AI-Assisted Creative Services
Pagia may provide tools utilizing artificial intelligence and emerging technologies to assist Participants in content creation, editing, translation, screenplay generation, audiobook preparation, metadata generation, educational transformation, adaptation preparation, analytics, recommendations, or similar functions.
Participants remain solely responsible for reviewing, validating, approving, and ensuring the legality and accuracy of outputs generated through such systems.
Use of AI-assisted services shall not transfer ownership of Participant content to Pagia.
1.13 Verification and Compliance
Pagia reserves the right to conduct identity verification, business verification, ownership verification, payment verification, anti-money laundering reviews, sanctions screening, fraud prevention reviews, intellectual property reviews, and other compliance procedures.
Participation privileges may be suspended, restricted, or terminated where verification requirements are not satisfied.
1.14 Participant Representations and Warranties
Each Participant represents and warrants that:
- · they possess all rights necessary to participate in the Platform;
- · their activities comply with applicable law;
- · their content does not infringe third-party rights;
- · their representations are accurate;
- · their transactions are lawful;
- · they possess authority to enter into agreements they undertake through the Platform; and
- · their participation will not expose Pagia to legal or regulatory liability.
1.15 Suspension and Removal from Programs
Pagia may suspend, restrict, terminate, remove, or otherwise limit participation in any program, marketplace, monetization opportunity, publishing initiative, licensing initiative, creator fund, adaptation opportunity, educational program, or Platform service where Pagia reasonably determines that such action is necessary.
Participation in Platform programs is a privilege and not a guaranteed right.
1.16 Future Platform Services
Participants acknowledge that Pagia intends to expand its ecosystem over time.
Future services may include:
- · creative funding programs;
- · creator accelerators;
- · literary fellowships;
- · publisher marketplaces;
- · film production marketplaces;
- · rights exchanges;
- · educational marketplaces;
- · metaverse environments;
- · virtual events;
- · digital asset marketplaces;
- · immersive storytelling platforms;
- · AI-powered creative tools;
- · cross-border commerce services;
- · and other services supporting the African creative economy.
This Agreement shall automatically apply to future services unless superseded by service-specific agreements.
1.17 Termination
This Agreement shall remain in effect until terminated by either party or until the Participant ceases participation in all applicable Platform services.
Termination shall not affect accrued rights, payment obligations, licenses, dispute resolution obligations, intellectual property provisions, indemnities, or provisions intended to survive termination.
1.18 Incorporation of Terms
The Pagia Terms of Service, Privacy Policy, Community Standards, Payment Policies, Intellectual Property Policies, Creator Policies, and other Platform policies are incorporated into this Agreement by reference.
In participating in the Platform, the Participant acknowledges and agrees to comply with all applicable Platform policies.
1.19 Acceptance
BY PARTICIPATING IN ANY COMMERCIAL, CREATIVE, PUBLISHING, LICENSING, MARKETPLACE, MONETIZATION, OR RIGHTS-RELATED ACTIVITY ON PAGIA, THE PARTICIPANT ACKNOWLEDGES THAT THEY HAVE READ, UNDERSTOOD, AND AGREED TO THIS PLATFORM PARTICIPATION AGREEMENT.
