1. Introduction

1.1 Purpose of this Agreement

This Author Publishing Agreement ("Agreement") governs the legal relationship between Pagia Technologies Limited ("Pagia," "we," "our," or "us") and every author, writer, creator, publisher, literary estate, or other rights holder ("Author," "you," or "your") who publishes literary works through the Pagia Platform.

Pagia operates a digital publishing ecosystem designed to enable creators to write, publish, distribute, market, license, monetize, and manage literary and creative works across multiple formats and territories. This Agreement establishes the terms under which Pagia provides publishing infrastructure while respecting and protecting the intellectual property rights of Authors.

Unlike a traditional publishing contract, this Agreement does not transfer ownership of your work to Pagia. Instead, it establishes a non-exclusive publishing relationship that enables Pagia to make your work available through the Platform and any authorized distribution channels you elect to use.

This Agreement should be read together with the Terms of Service, Platform Participation Agreement, Privacy Policy, Copyright and Intellectual Property Policy, Community Guidelines, AI Usage Policy, Payment Terms, and any additional policies that govern specific Platform services.

1.2 Acceptance

By uploading a manuscript, publishing a literary work, creating a publication through the Platform, requesting distribution, assigning an ISBN, enabling commercial sales, or otherwise using Pagia's publishing services, you acknowledge that you have carefully read, understood, and agreed to be legally bound by this Agreement.

Where you publish on behalf of a publishing company, organization, literary estate, educational institution, government body, or another legal entity, you represent and warrant that you possess full authority to bind that entity to this Agreement.

If you do not agree to this Agreement, you must not publish content through the Platform.

1.3 Scope of the Agreement

This Agreement applies to every literary work, publication, manuscript, ebook, digital publication, educational material, serialized publication, anthology, screenplay manuscript, poetry collection, research publication, or other creative work submitted for publication through Pagia.

Where Pagia introduces additional publishing formats, including audiobooks, print-on-demand services, hardcover publishing, paperback publishing, interactive publications, multimedia books, educational content, or future publishing technologies, those services shall also be governed by this Agreement unless separate contractual terms expressly apply.

2. Eligibility to Publish

2.1 Author Eligibility

To publish through Pagia, you must possess the legal capacity to enter into a binding agreement under the laws applicable to your jurisdiction.

If you publish on behalf of another person or organization, you represent that you possess all necessary authority to do so.

Where applicable law requires parental or guardian consent for younger creators, such consent must be obtained before publication.

Pagia reserves the right to request reasonable evidence of identity, publishing authority, or legal capacity where necessary to protect the integrity of the Platform or comply with applicable law.

2.2 Ownership or Publishing Authority

You may publish only works for which you possess the necessary legal rights.

Accordingly, you represent and warrant that you are either:

  • · the original author of the work;
  • · the lawful copyright owner;
  • · an authorized publisher;
  • · a literary agent acting within the scope of your authority;
  • · the executor or administrator of a literary estate;
  • · or another person legally authorized to publish the relevant work.

Where multiple parties jointly own rights in a publication, you represent that all necessary approvals have been obtained before publication.

2.3 Business and Institutional Publishing

Organizations including publishing houses, universities, government agencies, non-governmental organizations, religious institutions, corporations, and educational institutions may publish through designated organizational accounts.

Individuals acting on behalf of such organizations warrant that they possess authority to publish the submitted works.

Pagia may request documentary evidence of such authority before approving publication or distribution.

2.4 Co-Authored Works

Where a publication has multiple authors or contributors, the individual submitting the work represents that all contributors have consented to publication through Pagia and that appropriate agreements governing ownership, royalties, contributor credits, and licensing have been established among the contributors.

Pagia shall not be responsible for resolving disputes arising from co-authorship arrangements unless otherwise required by law.

3. Publishing Rights Granted to Pagia

3.1 Non-Exclusive Publishing License

To enable Pagia to provide publishing services, you grant Pagia a worldwide, non-exclusive, revocable (subject to this Agreement), royalty-bearing license to host, reproduce, store, convert, transmit, distribute, display, market, promote, and otherwise make your published work available solely for the purpose of operating, improving, maintaining, and providing the Services you have selected.

This license exists solely to enable Pagia to provide publishing and distribution services and shall not be interpreted as transferring ownership of your copyright or other intellectual property rights.

Except where you separately authorize expanded rights, you remain free to publish, license, distribute, or otherwise exploit your work through other platforms, publishers, distributors, bookstores, or commercial channels.

3.2 Digital Publishing Rights

The license granted under this Agreement authorizes Pagia to convert submitted manuscripts into supported digital formats, optimize publications for different reading devices, create secure digital files for distribution, generate preview editions, maintain backup copies, index publications for search functionality, and otherwise process your work as reasonably necessary to provide digital publishing services.

Pagia shall not materially alter the substantive content of your work without your authorization except where technical formatting adjustments are reasonably necessary for compatibility, accessibility, or distribution.

3.3 Marketplace Distribution

Where you elect to make your publication commercially available, you authorize Pagia to display your work within the Platform marketplace, process customer transactions, collect payments, distribute purchased publications to authorized customers, administer royalties, facilitate promotional campaigns, and perform other activities reasonably necessary to operate the marketplace.

Distribution shall occur only within the territories, channels, and commercial options selected by you or otherwise authorized under this Agreement.

3.4 Promotional License

For the purpose of promoting your publications and the Platform, you grant Pagia a non-exclusive license to use your book title, cover image, author name, approved author biography, approved excerpts, publication metadata, promotional descriptions, reviews, awards, and other marketing materials that you provide or authorize.

Such use may include placement on the Platform, social media channels, email newsletters, advertising campaigns, literary events, educational initiatives, press releases, recommendation systems, search indexing, and other promotional activities directly related to your publication or the Platform.

Pagia shall not materially misrepresent your work or use promotional materials in a manner that reasonably damages your professional reputation.

3.5 Storage and Preservation

You authorize Pagia to maintain secure backup copies of your manuscripts, publication files, metadata, edition history, cover artwork, publishing records, ISBN records, and related materials for purposes including disaster recovery, business continuity, platform integrity, publication management, legal compliance, audit requirements, and archival preservation.

The maintenance of archival copies following publication or withdrawal shall not constitute continued commercial exploitation of your work unless otherwise authorized under this Agreement.

4. Author Ownership and Retained Rights

4.1 Ownership of the Work

Except where you have expressly transferred ownership to another person or entity through a separate legally valid agreement, you retain all copyright and other intellectual property rights in the Work.

The publication, distribution, sale, licensing, storage, formatting, marketing, or other use of the Work through Pagia does not transfer ownership of the Work to Pagia.

Pagia does not become the author, copyright owner, publisher of record, or proprietor of the Work merely because you use the Platform to publish or distribute it.

Your ownership remains subject to any rights you may have previously granted to third parties, including publishers, literary agents, co-authors, employers, commissioning parties, production companies, or other rights holders.

You are responsible for ensuring that your use of Pagia does not conflict with any existing contractual obligations.

4.2 Retained Rights

Unless you separately grant those rights to Pagia through an express written agreement or specific Platform feature, you retain the right to:

  • · publish the Work through other platforms and distributors;
  • · enter into publishing agreements with third parties;
  • · license translation rights;
  • · license audiobook rights;
  • · license film, television, streaming, or other audiovisual adaptation rights;
  • · license stage, gaming, merchandising, educational, or other derivative rights;
  • · sell or assign copyright;
  • · create revised editions;
  • · withdraw the Work from Pagia in accordance with this Agreement; and
  • · otherwise exploit the Work in any manner permitted by law.

The use of Pagia's publishing services does not create an exclusive publishing relationship unless a separate written agreement expressly provides otherwise.

4.3 Moral Rights and Attribution

Where recognized under applicable law, you retain your moral rights in the Work, including the right to be identified as the author and the right to object to certain forms of unauthorized or derogatory treatment of the Work.

Pagia shall identify you as the author or rights holder using the information you provide through the Platform, subject to technical limitations, legitimate legal requirements, and any lawful arrangements relating to pseudonyms, pen names, anonymous publication, or institutional authorship.

You are responsible for ensuring that the author name, pseudonym, contributor information, and attribution details supplied to Pagia are accurate and lawful.

4.4 No Implied Transfer of Rights

No rights shall be considered transferred, assigned, licensed, or granted to Pagia merely because a particular right is not expressly addressed in this Agreement.

The rights granted to Pagia are limited to those reasonably necessary to provide the Services selected by you and to administer the Platform in accordance with this Agreement.

Any expanded rights, including exclusive distribution rights, adaptation rights, translation rights, audiobook rights, film rights, television rights, or other derivative rights, shall require separate authorization or a separate agreement.

5. Author Warranties and Representations

5.1 Authority to Enter into this Agreement

You represent and warrant that you have the legal capacity and authority to enter into this Agreement.

Where you act on behalf of another person or organization, you further represent that you have full authority to bind that person or organization to the obligations contained in this Agreement.

5.2 Ownership and Rights

You represent and warrant that you own the Work or possess all rights, permissions, licenses, consents, and authorizations necessary to publish, distribute, sell, license, and otherwise make the Work available through Pagia in accordance with the publishing options you select.

Where the Work contains contributions from other authors, editors, illustrators, translators, photographers, researchers, designers, narrators, or other contributors, you represent that all necessary permissions and agreements have been obtained.

5.3 Originality and Non-Infringement

You represent and warrant that, to the best of your knowledge, the Work is original or has been lawfully created and assembled from materials for which you possess the necessary rights.

You further represent that the publication, distribution, sale, licensing, and other authorized use of the Work through Pagia will not infringe the copyright, trademark, patent, trade secret, moral rights, privacy rights, publicity rights, contractual rights, or other legal rights of any person or entity.

5.4 No Unauthorized Content

You shall not knowingly submit or publish through Pagia any Work that contains material obtained through plagiarism, unauthorized copying, piracy, unlawful reproduction, or other intellectual property infringement.

Where the Work incorporates material created by third parties, you are responsible for ensuring that the relevant use is authorized, licensed, legally permissible, or otherwise protected by an applicable exception or limitation under relevant law.

5.5 Accuracy of Information

You represent and warrant that all information supplied to Pagia in connection with the Work is accurate and not knowingly misleading.

This includes information relating to your identity, author name, ownership, publishing authority, contributors, copyright status, ISBN, publication history, pricing, territory, edition, metadata, and licensing rights.

You shall promptly update material information where circumstances change.

5.6 Compliance with Applicable Law

You represent and warrant that the Work and your use of the Platform comply with applicable laws and regulations.

Nothing in this Agreement authorizes the publication of content that is unlawful in the relevant jurisdiction or that violates the Terms of Service, Copyright and Intellectual Property Policy, or other applicable Platform policies.

6. Book Submission Requirements

6.1 Submission of Manuscripts

Authors may submit completed manuscripts, works in progress, or other eligible publications through the publishing tools made available by Pagia.

Pagia may provide tools that enable Authors to write directly within the Platform, upload existing manuscripts, import files, edit content, format publications, design covers, generate metadata, and prepare Works for publication.

Authors remain responsible for reviewing the final publication before making it publicly available.

6.2 Technical and Formatting Requirements

Submitted Works must comply with the technical and formatting requirements communicated by Pagia from time to time.

These requirements may relate to file formats, file sizes, image resolution, typography, page dimensions, accessibility, embedded media, metadata, cover specifications, content structure, and other technical matters necessary to ensure compatibility with the Platform and supported distribution channels.

Pagia may reject, return, or require correction of a submission that cannot be processed reliably or displayed appropriately using the available publishing infrastructure.

6.3 Cover Artwork

Authors are responsible for ensuring that cover artwork submitted with a Work is lawfully owned or licensed for the intended use.

Cover artwork must not infringe the copyright, trademark, publicity, privacy, or other rights of third parties.

Where Pagia provides cover design tools, templates, artificial intelligence features, stock assets, or other design resources, the Author remains responsible for reviewing the final cover and ensuring that its use is lawful and consistent with any applicable licensing restrictions.

6.4 Metadata

Authors are responsible for providing accurate and complete publication metadata.

Metadata may include the title, subtitle, author name, contributor information, description, category, genre, language, keywords, publication date, edition information, ISBN, pricing, territorial rights, age classification, content warnings, and other information required for publication or distribution.

Pagia may correct obvious technical errors or request changes where metadata is materially inaccurate, misleading, fraudulent, or inconsistent with the Work.

6.5 Content Review

Pagia may conduct automated or human-assisted reviews of submitted Works for purposes including technical quality assurance, copyright protection, fraud prevention, legal compliance, content safety, platform integrity, and distribution requirements.

A review or approval of a Work does not constitute a representation by Pagia that the Work is legally compliant, original, commercially successful, or free from third-party claims.

The Author remains responsible for the Work and all rights associated with it.

6.6 Publication Approval

Pagia reserves the right to decline publication, delay publication, request modifications, restrict distribution, or remove a Work where reasonably necessary to:

  • · comply with applicable law;
  • · respond to a credible copyright or intellectual property claim;
  • · address fraud or misrepresentation;
  • · protect Users or the Platform;
  • · comply with payment, sanctions, or regulatory requirements;
  • · address technical incompatibility; or
  • · enforce the Terms of Service or other applicable Platform policies.

Where reasonably practicable, Pagia may provide the Author with an explanation of the relevant issue and an opportunity to correct it.

6.7 Author Review Before Publication

Before final publication, the Author is responsible for reviewing the final version of the Work, including its text, formatting, cover, metadata, pricing, author information, and other publication details.

Once the Author confirms publication, the Work may become available to readers, customers, distributors, or other authorized Users.

Pagia shall not be responsible for errors that were present in the final version approved by the Author, except to the extent caused by Pagia's own failure to accurately process or display the submitted material.
